软件许可协议

本《软件许可协议》（以下简称“本协议”）由上海君觅智能系统有限公司（以下简称“许可方”“我们”）与您（以下简称“被许可方”）就 PinPaw（拼好宠）软件产品（以下简称“本软件”）的使用许可事宜订立。请您在安装或使用本软件前，仔细阅读并充分理解本协议的全部内容。

您一旦安装、复制、注册登录或以其他方式使用本软件，即表示您已阅读、理解并同意接受本协议所有条款的约束。如您不同意本协议的任何条款，请立即停止安装或使用本软件。

一、定义

1.1 软件：指本协议所涵盖的 PinPaw（拼好宠）软件产品，包括其所有组件、模块、文档及后续更新、升级版本。 1.2 许可方：指上海君觅智能系统有限公司。 1.3 被许可方：指获得本协议授权、安装使用本软件的个人用户。 1.4 授权设备：指您个人合法持有、并绑定您的账号使用的移动终端或电子设备。

二、许可授权

2.1 在遵守本协议所有条款的前提下，许可方特此授予您一项全球范围内、免费、非独占、不可转让、不可再许可的有限使用许可，仅供您个人非商业用途使用本软件。 2.2 您仅可在授权设备上安装、运行本软件，不得将本软件用于任何商业经营、营利性活动，不得出租、出借、售卖、转授权本软件或其副本。

三、使用限制

您在使用本软件时，应遵守以下规则，法律法规明确允许的情形除外：

  • 不得对本软件进行反向工程、反编译、反汇编、破解、修改，或试图提取源代码、算法逻辑；
  • 不得复制、分发、传播、出租、出借本软件或其副本，不得将本软件嵌入其他软件或产品中进行二次分发；
  • 不得移除、修改、遮挡本软件中的任何版权声明、商标、标识、数字水印或技术保护措施；
  • 不得绕过、破坏本软件的技术保护机制，或利用系统漏洞、外挂等方式谋取不正当利益；
  • 不得利用本软件从事任何违反法律法规、公序良俗或侵犯第三方合法权益的行为。

四、知识产权

4.1 本软件及其所有副本的全部权利、所有权和利益，包括但不限于所有专利、著作权、商标权、商业秘密及其他知识产权，均归许可方所有。 4.2 本协议仅授予您软件使用许可，不构成任何知识产权的转让或独占授权。 4.3 您在使用本软件过程中产生的、经匿名化处理无法识别特定自然人的聚合数据、行为数据等，许可方享有完整的合法权益，可用于产品优化、算法训练、运营分析等合法场景。

五、更新与升级

5.1 许可方可自行决定是否提供软件的更新、升级服务，更新、升级后的软件版本仍受本协议约束。 5.2 许可方无义务必须向您提供任何更新、升级服务，也无义务保证旧版本软件持续可用。

六、免责声明

本软件按“现状”提供，许可方不提供任何明示或暗示的保证，包括但不限于对适销性、特定用途适用性、非侵权性的保证。 许可方不保证软件将不间断运行、无错误或无安全漏洞，也不保证软件完全符合您的使用需求。因互联网特性、设备兼容性、网络故障等非许可方原因导致的使用问题，许可方不承担责任。

七、责任限制

7.1 在法律法规允许的最大范围内，许可方不对因使用或无法使用本软件而产生的任何直接、间接、附带、特殊或后果性损害承担责任，即使许可方已被告知可能发生该等损害。 7.2 许可方的累计赔偿责任总额，不超过您为获取本软件许可所实际支付的费用（如为免费软件，则以人民币0元为限）。 7.3 本条限制不适用于许可方存在故意或重大过失的情形，也不适用于法律法规明确规定不得限制责任的情形。

八、协议的终止

8.1 如您违反本协议的任何条款，许可方有权立即终止本许可，无需提前通知。 8.2 协议终止后，您应立即停止使用本软件，并卸载、删除全部软件副本。 8.3 协议终止不影响许可方向您追究违约责任的权利。

九、违规处置

如您违反本协议或平台相关规则，许可方有权视情节轻重采取以下一项或多项措施：

  • 发出警告、要求限期整改；
  • 限制部分或全部软件功能；
  • 暂停或永久封禁您的账号、终止本许可；
  • 追究您的法律责任，要求赔偿全部损失（包括但不限于直接经济损失、商誉损失、律师费、诉讼费、公证费等维权合理开支）。

十、协议的变更

10.1 许可方有权根据法律法规更新、监管要求或业务发展需要，修订本协议。 10.2 修订后的协议将通过软件内公告、站内通知等合理方式告知您，公示期满后正式生效。 10.3 如您在修订后的协议生效后继续使用本软件，即视为您已阅读、理解并接受修订后的协议。

十一、争议解决

11.1 本协议的订立、效力、解释、履行及争议解决均适用中华人民共和国法律，不适用冲突法规则。 11.2 因本协议引起的或与之相关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权向许可方住所地有管辖权的人民法院提起诉讼。

十二、其他约定

12.1 本协议构成双方关于软件使用的完整协议，取代此前所有口头或书面的沟通、谅解与约定。 12.2 如本协议的任何条款被有管辖权的法院认定为无效或不可执行，其余条款的效力不受影响。 12.3 许可方未行使或迟延行使本协议项下的任何权利，不构成对该权利的放弃。 12.4 本协议以中文版本为准，英文、日文版本仅为方便阅读提供，不具有法律效力。

English Version

1. Definitions

1.1 "Software": Refers to the PinPaw software product covered by this License, including all components, modules, documentation, and subsequent updates and upgrades. 1.2 "Licensor": Refers to Shanghai Junmi Intelligent System Co., Ltd. 1.3 "Licensee": Refers to the individual user who is granted a license under this Agreement. 1.4 "Authorized Devices": Refers to the personal mobile devices or electronic devices legally owned by the Licensee and bound to the Licensee's account.

2. Grant of License

Subject to compliance with all terms of this License, the Licensor hereby grants the Licensee a worldwide, free, non-exclusive, non-transferable, non-sublicensable limited license to use the Software for personal, non-commercial purposes only.

3. Restrictions on Use

The Licensee shall comply with the following restrictions when using the Software, except as expressly permitted by applicable laws and regulations:

  • Reverse engineering, decompilation, disassembly, cracking, modification of the Software, or attempts to extract source code or algorithm logic are prohibited;
  • Copying, distributing, renting, lending, sublicensing the Software or its copies, or embedding the Software into other software or products for secondary distribution is prohibited;
  • Removing, modifying or obscuring any copyright notices, trademarks, logos, digital watermarks or technical protection measures in the Software is prohibited;
  • Circumventing or attempting to circumvent the technical protection mechanisms of the Software, or exploiting system vulnerabilities, plug-ins, etc. to obtain improper benefits is prohibited;
  • Using the Software to engage in any activities that violate laws and regulations, public order and good morals, or infringe upon the legitimate rights and interests of third parties is prohibited.

4. Intellectual Property

All rights, title and interest in and to the Software and all copies thereof, including but not limited to all patents, copyrights, trademarks, trade secrets and other intellectual property rights, shall remain the exclusive property of the Licensor. This License does not constitute a transfer of any intellectual property rights.

5. Updates and Upgrades

The Licensor may, at its sole discretion, provide updates or upgrades to the Software. Updates and upgrades are subject to the terms of this License. The Licensor has no obligation to provide any updates or upgrades, nor to ensure the continuous availability of older versions of the Software.

6. Disclaimer of Warranties

The Software is provided "AS IS" without any warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software will operate uninterrupted, error-free or free of security vulnerabilities.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor shall not be liable for any direct, indirect, incidental, special or consequential damages arising from the use or inability to use the Software, even if the Licensor has been advised of the possibility of such damages. The total aggregate liability of the Licensor shall not exceed the amount actually paid by the Licensee to obtain this License (if the Software is free of charge, the limit shall be RMB 0). This limitation shall not apply to cases where the Licensor is guilty of willful misconduct or gross negligence, nor to cases where liability cannot be limited by applicable laws and regulations.

8. Termination

This License may be terminated immediately by the Licensor if the Licensee breaches any term of this License, without prior notice. Upon termination, the Licensee shall immediately cease all use of the Software and uninstall and delete all copies of the Software.

9. Governing Law and Dispute Resolution

This License shall be governed by the laws of the People's Republic of China, without regard to its conflict of law principles. Any dispute arising out of or in connection with this License shall first be resolved through amicable negotiation. If negotiation fails, either party may bring an action before the competent people's court where the Licensor is located.

10. Severability

If any provision of this License is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The Chinese version of this License shall be the authoritative version. English and Japanese versions are provided for convenience only and shall have no legal effect.

1. 定義

1.1 「ソフトウェア」：本ライセンスの対象となる PinPaw ソフトウェア製品をいい、すべてのコンポーネント、モジュール、ドキュメント、および今後のアップデート・アップグレード版を含みます。 1.2 「ライセンサー」：上海君觅智能系统有限公司（Shanghai Junmi Intelligent System Co., Ltd.）をいいます。 1.3 「ライセンシー」：本契約に基づき使用許可を受けた個人ユーザーをいいます。 1.4 「許可デバイス」：ライセンシーが個人で合法的に所有し、アカウントに紐付けて使用する携帯端末または電子機器をいいます。

2. ライセンスの付与

本契約のすべての条項を遵守することを条件として、ライセンサーはライセンシーに対し、個人の非営利目的に限り、世界範囲で、無償、非独占的、譲渡不可、再ライセンス不可の限定的使用許諾を付与します。

3. 使用制限

ライセンシーは、法令で明示的に許可される場合を除き、ソフトウェアの使用に際し以下の制限を遵守するものとします。

  • ソフトウェアのリバースエンジニアリング、逆コンパイル、逆アセンブル、クラッキング、改変、またはソースコード・アルゴリズムの抽出を試みることは禁止されています；
  • ソフトウェアまたはその複製物を複製、配布、頒布、貸与、再ライセンスすること、または他のソフトウェア・製品に組み込んで二次配布することは禁止されています；
  • ソフトウェア内の著作権表示、商標、ロゴ、デジタル透かし、技術的保護手段を削除、改変、隠蔽することは禁止されています；
  • ソフトウェアの技術的保護機構を回避または破壊すること、システムの脆弱性やチートツール等を利用して不当な利益を得ることは禁止されています；
  • ソフトウェアを利用して法令・公序良俗に違反する行為、または第三者の権利を侵害する行為を行うことは禁止されています。

4. 知的財産

ソフトウェアおよびそのすべての複製物に関するすべての権利、所有権および利益は、特許、著作権、商標権、営業秘密その他の知的財産権を含むがこれらに限定されず、ライセンサーの専有財産として留保されます。 本ライセンスはいかなる知的財産権の譲渡を構成するものではありません。

5. アップデートとアップグレード

ライセンサーは、その単独の裁量によりソフトウェアのアップデートまたはアップグレードを提供することができます。アップデート・アップグレード後のソフトウェアも本ライセンスの条項に従うものとします。 ライセンサーは、アップデート・アップグレードを提供する義務を負わず、旧バージョンの継続的な利用可能性を保証するものでもありません。

6. 保証の免責

本ソフトウェアは「現状有姿」で提供され、商品性、特定目的への適合性、非侵害性を含むがこれらに限定されず、明示または黙示を問わず、いかなる種類の保証も行いません。 ライセンサーは、ソフトウェアが中断なく動作すること、エラーがないこと、セキュリティ上の脆弱性がないことを保証しません。

7. 責任の制限

適用法令が許容する最大限の範囲内で、ライセンサーは、ソフトウェアの使用または使用不能に起因する直接的、間接的、付随的、特別または結果的損害について、当該損害の発生可能性を告知されていた場合でも、一切の責任を負いません。 ライセンサーの累積的な賠償責任の総額は、ライセンシーが本ライセンス取得のために実際に支払った金額を超えないものとします（無料ソフトウェアの場合、上限は人民元0円とします）。 本条の制限は、ライセンサーに故意または重大な過失がある場合、および適用法令により責任を制限できない場合には適用されません。

8. 終了

ライセンシーが本ライセンスのいずれかの条項に違反した場合、ライセンサーは事前通知なしに直ちに本ライセンスを終了することができます。 終了後、ライセンシーは直ちにソフトウェアの使用を中止し、すべての複製物をアンインストールして削除しなければなりません。

9. 準拠法と紛争解決

本ライセンスは、法の抵触原則を適用することなく、中華人民共和国の法律に準拠するものとします。 本ライセンスに関連して生じる一切の紛争は、まず当事者間の友好的な協議により解決するものとします。協議が調わない場合、いずれの当事者もライセンサーの所在地を管轄する人民法院に訴訟を提起することができます。

10. 分離可能性

本ライセンスのいずれかの条項が管轄権を有する裁判所により無効または執行不能と認められた場合でも、残りの条項は引き続き完全に効力を有するものとします。 本ライセンスは中国語版を正文とし、英語版・日本語版は閲覧の便宜のために提供されるものであり、法的効力を有しません。
